1. Acceptance of Terms
By accessing and using Winning Strategy's services, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services. These terms apply to all users, including visitors, registered users, and subscribers.
2. Services Description
Winning Strategy provides AI-powered services including but not limited to:
- Data Analysis Agent for analyzing datasets and generating insights
- Spreadsheet Agent for Excel and spreadsheet automation
- Presentation Agent for creating presentations
- AI Chat Agent with access to multiple AI models
- Image and video generation capabilities (Pro plan and above)
- Other AI-powered tools and features
We reserve the right to modify, suspend, or discontinue any part of our services at any time with or without notice.
3. User Accounts and Registration
Account Creation
- You must be at least 18 years old to create an account
- You must provide accurate and complete information
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- One person or entity may not create multiple free accounts
Account Security
You must immediately notify us of any unauthorized use of your account or any security breach. We will not be liable for any loss or damage arising from your failure to maintain account security.
Account Termination
We reserve the right to suspend or terminate your account at our discretion if you violate these terms or engage in fraudulent, abusive, or illegal activities.
4. Subscription and Payment Terms
Subscription Plans
- Free Plan: Limited credits and features, no payment required
- Plus Plan: Monthly or annual subscription with enhanced features
- Pro Plan: Monthly or annual subscription with premium features
- Enterprise Plan: Custom pricing and features
Billing
- Subscription fees are billed in advance on a monthly or annual basis
- All payments are processed securely through Razorpay
- Prices are in Indian Rupees (INR) unless otherwise stated
- You authorize us to charge your payment method for all fees incurred
- Subscription automatically renews unless cancelled before the renewal date
Price Changes
We may change our subscription prices at any time. For existing subscribers, price changes will take effect at the next renewal after 30 days' notice. Continued use after a price change constitutes acceptance of the new price.
Credits System
- Credits are used to access various AI features and models
- Credits expire at the end of each billing period and do not roll over
- Additional credits may be purchased separately
- Credits have no cash value and are non-refundable
- We reserve the right to adjust credit costs for different features
5. Acceptable Use Policy
You agree NOT to use our services to:
- Violate any laws, regulations, or third-party rights
- Generate or distribute harmful, illegal, or malicious content
- Create spam, phishing attempts, or fraudulent content
- Generate content that infringes intellectual property rights
- Harass, abuse, or harm others
- Attempt to reverse engineer, decompile, or hack our services
- Bypass usage limits or abuse the credit system
- Create fake accounts or share accounts
- Scrape or extract data from our platform without permission
- Generate deepfakes or misleading content for malicious purposes
- Use the service for any automated or high-volume commercial use without authorization
Violation of this policy may result in immediate suspension or termination of your account.
6. Intellectual Property Rights
Your Content
You retain ownership of all content you upload, create, or generate using our services. By using our services, you grant us a limited license to process, store, and display your content solely for the purpose of providing our services.
AI-Generated Content
Content generated by our AI services is provided to you. However, you acknowledge that similar content may be generated for other users. You are responsible for ensuring that any AI-generated content you use complies with applicable laws and does not infringe third-party rights.
Our Platform
All rights, title, and interest in our platform, services, software, and technology remain our exclusive property. You may not copy, modify, distribute, or create derivative works based on our platform.
7. Data Usage and Privacy
Your use of our services is also governed by our Privacy Policy. By using our services, you consent to our collection and use of your information as described in the Privacy Policy. We are committed to protecting your data and maintaining your privacy.
8. Service Availability and Reliability
We strive to provide reliable and uninterrupted service, but we do not guarantee that:
- The service will be available at all times without interruption
- The service will be error-free or secure from unauthorized access
- AI-generated results will be accurate, complete, or suitable for your purposes
- Any defects or errors will be corrected within a specific timeframe
We reserve the right to perform scheduled maintenance that may temporarily interrupt service. We will provide advance notice when possible.
9. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Merchantability, fitness for a particular purpose, and non-infringement
- Accuracy, reliability, or completeness of AI-generated content
- Uninterrupted or error-free operation
- Security or freedom from viruses or harmful components
You use our services at your own risk and are solely responsible for any consequences.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from use or inability to use our services
- Damages resulting from AI-generated content or decisions based on it
- Unauthorized access to or alteration of your data
Our total liability to you for any claims arising from your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Winning Strategy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of our services
- Your violation of these Terms and Conditions
- Your violation of any rights of third parties
- Your content or AI-generated content you create and use
12. Third-Party Services and Links
Our services may integrate with or link to third-party services (such as AI model providers, payment processors, etc.). We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and conditions.
13. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising from these terms or your use of our services shall be resolved through:
- Good faith negotiation between the parties
- If unresolved, binding arbitration in accordance with Indian arbitration laws
- The arbitration shall be conducted in English in Mumbai, India
14. Changes to Terms and Conditions
We reserve the right to modify these Terms and Conditions at any time. We will notify users of material changes via email or through a prominent notice on our platform at least 30 days before they take effect. Your continued use of our services after changes are implemented constitutes acceptance of the updated terms.
15. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Winning Strategy regarding your use of our services and supersede all prior agreements and understandings.
